Terms of Service

Welcome to Slixy. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Slixy ("Slixy," "we," "our," or "us") concerning your access to and use of our web-based classroom platform, websites, and all associated services, content, features, technologies, and functionality (collectively, the "Service").

By creating an account, accessing, browsing, installing, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms, including any additional guidelines and future modifications. If you do not agree with all of these Terms, you may not access or use the Service.

If you are acting on behalf of an organization, institution, business, or another legal entity, you represent that you are authorized to bind that entity to these Terms, and in that case, "you" refers to that entity.

1. Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to access or use the Service, unless your use is authorized by a parent, guardian, school, institution, or organization that has obtained all required permissions. By registering, you represent and warrant that you meet the applicable age requirement and have the legal capacity or authorization to enter into these Terms.

The Service is not intended for users who are not legally permitted to use technology products of this nature in their jurisdiction.

2. Nature and Purpose of the Service

Slixy is an AI-assisted educational platform for language classrooms and other learning environments. The Service offers course organization, interactive slide decks, live and self-paced sessions, join-code participation, text responses, audio responses, drawings, annotations, discussions, quizzes, polls, matching activities, drag-and-drop activities, flashcards, instructor dashboards, session reports, AI-assisted feedback, transcription, quiz generation, flashcard generation, and related classroom tools.

The Service is intended for educational and training purposes. It is not a credentialing authority, official proficiency test, admissions system, disciplinary system, safety system, emergency system, or substitute for qualified teaching, institutional, or professional judgment. AI-generated feedback, scores, summaries, hints, flashcards, and quiz questions should be reviewed by a human instructor where accuracy matters.

3. Account Registration and Responsibilities

To access certain features, you may be required to register and create an account. You agree to:

  • Provide complete, accurate, and up-to-date information.
  • Keep your credentials, including passwords and logins, secure and confidential.
  • Accept full responsibility for any activities conducted under your account.

You agree not to share your account or credentials with any third party. You are solely responsible for monitoring and controlling access to your account. If you suspect unauthorized access or any other security breach, you must notify us immediately through the support contact made available in the Service.

We reserve the right to suspend or terminate your account if we suspect any violation of these Terms or misuse of the Service.

4. Acceptable Use Policy

By using the Service, you agree to abide by all applicable laws, regulations, and these Terms. You shall not:

  • Upload, store, or transmit private student records, government identifiers, financial account numbers, biometric data, medical information, highly sensitive personal data, copyrighted materials you are not authorized to use, or information that you are not authorized to share.
  • Use the Service as the sole basis for high-stakes grading, placement, admissions, disciplinary, employment, safety, emergency, or other institutional decisions.
  • Copy, reproduce, distribute, resell, sublicense, or modify the Service or its content without written consent.
  • Reverse engineer, decompile, attempt to access source code, bypass security controls, or interfere with the platform's technical infrastructure.
  • Use bots, scripts, scraping tools, or automated means to extract data from the Service except as expressly permitted by us.
  • Misrepresent your identity, role, institution, affiliation, or authorization while using the platform.
  • Use the Service in a way that is abusive, threatening, harassing, defamatory, obscene, discriminatory, deceptive, harmful, or otherwise inappropriate.
  • Interfere with another user's ability to learn, teach, participate, or use the Service safely.

We reserve the right to investigate and take appropriate action for violations, including removing offending content, restricting features, suspending accounts, terminating accounts, notifying institutions, and cooperating with law enforcement where appropriate.

5. Integration with Third-Party Services

Slixy integrates with external technologies, including OpenAI API services for AI-assisted feedback, transcription, slide generation, quiz generation, flashcard generation, hints, and summaries, Ably for live classroom updates, Cloudflare R2 or another S3-compatible storage provider for uploaded files and recordings, Resend or another email provider for account emails, YouTube Data API for instructor video search, SerpApi for instructor image search, hosting and database providers for application infrastructure, and other service providers used to operate the Service.

By using Slixy, you consent to having your inputs, prompts, uploads, recordings, usage data, educational activity, search queries, selected media references, and technical information transmitted to and processed by these third-party services where necessary to provide the Service. Slixy is not responsible for the data policies, availability, or output reliability of third-party services. You acknowledge that AI models may generate unpredictable, incomplete, biased, outdated, or flawed outputs and that you are responsible for interpreting results with caution.

6. Information Collection, Use, and Storage

Our Privacy Policy explains how we collect, use, store, disclose, and protect information. By using the Service, you also agree to our Privacy Policy.

We do not ask you to submit private student records, government identifiers, financial account numbers, biometric data, medical information, or highly sensitive personal data. You must not attempt to use or upload such information unless you have all required rights and permissions and the submission is appropriate for a classroom learning tool.

7. Cookies and Tracking Technologies

Slixy uses cookies, tokens, analytics scripts, and browser-based tracking tools to authenticate users, manage sessions, collect usage metrics, customize experience, improve functionality, and protect the Service from misuse. You can control cookies through browser settings. Some features may be limited if cookies are disabled.

8. Data Security and Breach Notification

We use reasonable administrative, physical, and technical safeguards to protect data against unauthorized access, alteration, disclosure, or destruction. Despite these efforts, no system is fully immune from breaches. In the event of a security incident involving your information, we will notify you in accordance with applicable data protection laws.

9. Modifications, Service Interruptions, and Beta Releases

We reserve the right to change, modify, suspend, or discontinue any part of the Service at any time, with or without prior notice.

Experimental features labeled as beta, preview, pilot, or similar may contain bugs, be incomplete, change materially, or be removed at any time. You accept all risks associated with using such features.

10. Fees, Billing, and Refund Policy

Slixy currently does not require payment card details to create a standard account. If Slixy offers paid features, paid courses, institutional licenses, or subscription plans, you agree to pay the fees shown at purchase or in the applicable written agreement. Fees may be non-refundable unless otherwise specified. If required payments are not received, we may suspend access to paid features until the balance is resolved.

11. Ownership and Intellectual Property

All content, software, interfaces, audio, visuals, lessons, interactive activities, documentation, product designs, workflows, and platform materials provided by Slixy are the property of Slixy or its licensors. You may not reproduce, publish, sell, resell, or reuse any part of the platform except as allowed under your educational license or written agreement with us.

The Slixy name, logo, product designs, and features are protected marks or proprietary assets. All rights not explicitly granted are reserved by Slixy.

12. User Submissions and Feedback

You may submit lesson content, responses, feedback, ideas, suggestions, improvements, messages, uploads, and other materials through the Service. You retain rights to content you submit, but you grant us a license to host, process, display, reproduce, modify, transmit, and use that content as necessary to operate, secure, support, and improve the Service.

If you voluntarily submit feedback, ideas, suggestions, or improvements to Slixy, you grant Slixy an unlimited, irrevocable, royalty-free, perpetual license to use that feedback for any purpose without compensation or restriction.

13. Warranty Disclaimer

The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, reliability, and accuracy. We make no representations or warranties about the accuracy, completeness, reliability, usefulness, availability, or educational suitability of AI-generated outputs, analytics, reports, lessons, flashcards, quizzes, transcriptions, summaries, or feedback.

14. Limitation of Liability

To the fullest extent permitted by law, Slixy shall not be liable for any indirect, incidental, punitive, special, exemplary, or consequential damages, or loss of data, use, goodwill, profits, educational outcomes, business opportunities, or institutional funding, arising from or related to the use of the Service.

Our total liability for any claim will not exceed the greater of the amount you paid to us in the twelve months before the claim or CAD $100.

15. Assumption of Risk

You understand that AI-generated educational tools carry inherent limitations and that outputs may be inaccurate, unrealistic, biased, incomplete, or outdated. You agree not to rely on any AI-generated content as the sole basis for grading, placement, discipline, certification, or other high-stakes educational or institutional decisions.

16. Indemnification

You agree to indemnify, defend, and hold harmless Slixy, its affiliates, officers, directors, employees, licensors, agents, and contractors from and against any claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of or connected with:

  • Your use or misuse of the Service.
  • Your violation of these Terms.
  • Any content or data you submit through the Service.
  • Any violation of applicable laws or third-party rights.
  • Any institutional, classroom, employment, or administrative decision made using information from the Service.

17. User Rights and Appeals

If your account is suspended or terminated and you believe it was done in error, you may submit an appeal in writing through the support contact made available in the Service within ten business days. Appeals will be reviewed in good faith, and all decisions rendered shall be final and binding unless otherwise required by law.

You may request to access, rectify, or delete your data where applicable under your local data protection laws, including GDPR, CCPA, PIPEDA, or similar laws.

18. Data Retention and Deletion

Slixy retains user data only for as long as necessary for the purposes stated in these Terms and our Privacy Policy. Upon account termination or deletion request, we will delete or anonymize your personal data unless we are legally required or permitted to retain it for fraud prevention, security, regulatory compliance, internal research, statistical purposes, dispute resolution, or enforcement of agreements.

19. Children's Privacy

The Service is not directed to individuals under 13 years of age or the minimum age required in your jurisdiction unless use is authorized by a school, institution, parent, guardian, or administrator with all required permissions. We do not knowingly collect personal information from children without appropriate authorization.

20. Product Improvement and AI Evaluation

Anonymized, aggregated, and de-identified user interactions with the Service may be used to evaluate and improve Slixy features, prompts, AI-assisted workflows, educational content, classroom tools, reliability, and product quality. We do not intentionally use personally identifiable student content to train public AI models without explicit opt-in or another lawful basis.

21. International Use and Export Compliance

You agree to use the Service in accordance with all local, national, and international laws, including export restrictions and regulations governing data use and transmission. You must not use the Service in any country or territory where such use is prohibited by applicable law.

22. Institutional or Enterprise Use

Where the Service is accessed through a school, language program, tutoring program, company, or academic institution:

  • The institution may receive limited analytics, reports, rosters, participation data, or anonymized usage information for educational monitoring, classroom support, compliance, or administrative purposes.
  • The institution is responsible for obtaining any necessary student, parent, faculty, staff, or participant consents.
  • Use must comply with these Terms, our Privacy Policy, and any written agreement between Slixy and the institution.

Slixy disclaims any liability for an institution's misuse of data or failure to meet legal requirements.

23. Audit and Compliance

We reserve the right to audit institutional or enterprise accounts to verify compliance with usage terms and contractual agreements. If misuse is detected, we may issue warnings, impose access restrictions, suspend accounts, terminate access, or pursue legal enforcement.

24. Force Majeure

Slixy shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, war, cyberattacks, pandemics, telecommunications failures, infrastructure outages, labor disputes, supplier failures, and acts of government.

25. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations in the event of a merger, acquisition, corporate restructuring, financing, or sale of assets.

26. Survival of Terms

Any section of these Terms which by its nature should survive termination, including intellectual property, limitation of liability, indemnification, governing law, dispute resolution, confidentiality, and any outstanding payment obligations, shall remain in full force and effect after your use of the Service ends.

27. Dispute Resolution and Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the provincial and federal courts located in British Columbia, unless otherwise required by consumer protection laws in your jurisdiction.

For enterprise or institutional clients, Slixy may offer optional arbitration agreements or alternate dispute resolution pathways, as documented in separate contracts.

28. Electronic Communications

By using the Service, you agree to receive communications from Slixy electronically. You consent to receive all agreements, notices, disclosures, and other communications electronically, which satisfy any legal requirements that such communications be in writing.

29. Accessibility and Accommodations

We strive to make our platform inclusive and accessible. If you require accommodations to use the Service due to a disability, or experience an accessibility barrier, please contact us through the support contact made available in the Service, and we will do our best to assist you in a timely manner.

30. Student Conduct and Professionalism

Users affiliated with academic institutions must uphold standards of professional and ethical behavior. This includes refraining from inappropriate, offensive, harassing, discriminatory, or disruptive interactions. Slixy reserves the right to report misconduct to your institution, suspend access, or revoke privileges in response to such behavior.

31. Confidentiality

You agree not to disclose any confidential or proprietary information about the Service, its underlying systems, or its business operations. This includes unreleased features, internal testing results, system design, non-public pricing, private communications, and non-public product plans.

32. Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted through the Service or otherwise made available. Your continued use of the Service after an update means you accept the revised Terms, unless applicable law requires additional consent.

33. Entire Agreement

These Terms, together with our Privacy Policy and any other supplemental agreements you may have signed, represent the entire agreement between you and Slixy. They supersede all prior agreements, communications, and representations, whether oral or written.

If any part of these Terms is held to be invalid or unenforceable, the remaining sections shall remain in full force and effect.
